These Terms of Service (“Terms”) govern your use of the Conduit Systems website at conduitsystems.org and the services provided by Conduit System Services LLC (“Conduit Systems,” “we,” “us,” or “our”). By using this site or engaging our services, you agree to these Terms.
1. Services
Conduit Systems provides software consulting services including CRM implementation, custom web development, and related technology services. Specific deliverables, timelines, and pricing for each engagement are defined in a written Scope of Work provided prior to any work beginning.
2. Scope of Work and Contracts
All client engagements are governed by a separate Scope of Work and service agreement signed by both parties. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement controls.
No work will begin until a Scope of Work is mutually agreed upon in writing. Verbal agreements, email confirmations, or prior conversations do not constitute a binding commitment on either party.
3. Payment
Payment terms are specified in each engagement’s Scope of Work. Unless otherwise agreed in writing:
- Invoices are due within 14 days of issuance
- We accept payment via ACH bank transfer or credit card through Stripe
- Late payments may result in a pause or termination of work
- Deposits paid are non-refundable unless Conduit Systems fails to deliver the agreed scope
4. Intellectual Property
Upon receipt of final payment, the client owns all custom deliverables created specifically for their engagement (code, content, design assets). Conduit Systems retains ownership of any pre-existing tools, frameworks, libraries, and methodologies used in the delivery of services.
We reserve the right to use completed work in our portfolio unless the client requests otherwise in writing prior to the start of the engagement.
5. Confidentiality
We treat client business information as confidential. We will not disclose your business details, internal processes, or project specifics to third parties without your consent, except as required by law or as necessary to deliver services using our approved sub-processors.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Conduit Systems shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from the use of our services or this website, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from a service engagement shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.
7. Warranties and Disclaimers
We will perform all services with reasonable skill and care consistent with industry standards. We make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
This website is provided “as is” without warranties of any kind. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
8. Termination
Either party may terminate an engagement with written notice. Upon termination:
- The client owes payment for all work completed through the termination date
- Conduit Systems will deliver all completed work product to the client
- Deposits are non-refundable unless Conduit Systems is the terminating party without cause
9. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Dallas County, Texas.
10. Changes to These Terms
We may update these Terms at any time. Continued use of the site after changes are posted constitutes acceptance. For active client engagements, the Terms in effect at the time of the signed Scope of Work govern that engagement.
